Terms of Service

These Terms of Service (the "Terms") govern your access to and use of TIPS Tools (the "Service"), provided by Total Insight Professional Services LLC ("TIPS," "we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

1. Description of the Service

The Service is a compliance management platform that organizes company, driver, vehicle, and filing records, retrieves publicly available FMCSA data, and provides reminders and related tools.

2. No Guarantee of Regulatory Compliance

The Service is provided as an informational and organizational tool only. Use of the Service does not guarantee, certify, or otherwise ensure compliance with any requirement of the U.S. Department of Transportation (DOT), the Federal Motor Carrier Safety Administration (FMCSA), or any state or local agency.

You are solely responsible for determining which regulations apply to your operations and for maintaining compliance with them. Information presented in the Service, including public FMCSA data and deadline dates, may be incomplete, delayed, or inaccurate, and should be verified with the issuing agency.

Compliance services that you separately engage TIPS to perform, such as the preparation or submission of filings, are governed by the agreement or terms applicable to those services and not by these Terms.

3. Eligibility and Accounts

• You must be at least eighteen (18) years of age and authorized to act on behalf of the company associated with the USDOT number used to register.
• You agree to provide accurate and complete information and to keep that information current.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

4. Free Trial, Fees, and Billing

New accounts receive a fourteen (14) day free trial. No payment information is required to begin the trial, and access to the Service ends at the conclusion of the trial unless you purchase a subscription.

Subscriptions are offered at $18.00 per month or $162.00 per year and renew automatically at the end of each billing period until canceled. You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access to the Service until that time. Fees are non-refundable, and no refunds or credits are issued for partial billing periods.

We may change subscription fees upon at least thirty (30) days' prior notice. Any change will take effect at the start of the first billing period following the notice period.

5. Your Data

You retain all rights to the data you submit to the Service. You grant TIPS a limited license to store, process, and display that data solely as necessary to provide the Service. Our collection and use of information are described in our Privacy Policy.

6. Acceptable Use

You agree not to:

• attempt to gain unauthorized access to, interfere with, or disrupt the Service;
• copy, scrape, reverse engineer, or resell the Service or access to it;
• upload content that is unlawful or that you do not have the right to submit; or
• use the Service in violation of any applicable law or regulation.

7. Availability and Modifications

We strive to maintain the availability of the Service but do not guarantee uninterrupted access. The Service may be unavailable from time to time due to maintenance, updates, or circumstances beyond our control. We may modify, add, or discontinue features of the Service at any time.

8. Suspension and Termination

You may discontinue use of the Service at any time. We may suspend or terminate your access to the Service if you violate these Terms or fail to pay applicable fees.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIPS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING FINES, PENALTIES, LOST PROFITS, OR LOSS OF DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. TIPS'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Governing Law and Venue

These Terms are governed by the laws of the State of Idaho, without regard to its conflict of laws principles. Any dispute arising from these Terms or the Service shall be brought exclusively in the state or federal courts located in Ada County, Idaho.

12. Revisions to These Terms

We may revise these Terms from time to time. Revisions will be posted on this page with an updated "Last Updated" date. Where a revision is material, we will provide notice to account holders by email. Your continued use of the Service after a revision takes effect constitutes acceptance of the revised Terms.
